**About The Opportunity** ****The Contracts Manager is a part of the Strategic Procurement department at Alliance Data. The Contracts Manager will work with all lines of business to ensure consistent contract management business processes are instituted across the organization. This person will ensure baseline system standards are maintained while allowing the lines of business to expand and further customize their use of the CLM system. They will also ensure that the security processes are consistent, controls are established and procedures are followed. CLM requires standardization of contract types, data input, templates, scanning processes, template management, clause library, and general workflow practices. Coordination and oversight of these activities is critical for the integrity and success of CLM. Standardization and consistent business practices will be crucial to the integrity of the system data and generated reports. The CLM system will be integrated with other non-legal department systems (i.e. PeopleSoft, vendor risk system, etc.). The Contracts Manager will provide oversight to ensure data standards are met and that consistent business practices are in place for the LOB’s to achieve maximum usage of the CLM solution. The Contracts Manager will liaise with various departments across all lines of business, including, but not limited to, legal, client sales, vendor management, risk, procurement, accounts payable, etc. They will need to develop creative and innovative methods of maintaining the standardization while providing flexibility to departments that want to use the system in other ways. They will be a problem solver for complex contract management business process issues such as routing contracts, contract creation templates and usage, managing milestones and obligations and managing legacy and day forward contracts. They will provide recommendations and identify opportunities for using the system in advanced ways and implementing those features. The Contracts Manager will ultimately be the owner for the enterprise business process, which has an immediate impact on Alliance Data’s ability to manage risk associated with the proper management and traceability of contracts. They will contribute to the roll out and globalization plan of CLM, and will provide input into the communications and training strategy. **Responsibilities** *Primary Responsibilities* * Implementation of "Contract Lifecycle Management". Develop and implement procedures for contract management and administration in compliance with enterprise company policy. * Assess contract management plans across all LOB’s to ensure consistency Develop holistic view of contracting processes, identify and implement innovative solutions as well as provide best practice solutions * Acts as a point of contact for customers on contractual agreements with vendors and clients, best practices, etc. * Maintain contractual records and documentation such as recipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all Corporate projects. Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness. * Provides governance on CLM and facilitates best practices enterprise-wide Supports and potentially leads an enterprise-wide council that meets on a routine basis (quarterly or semi-annual) to ensure CLM compliance, incorporate best practices, etc. *Additional Responsibilities* * Monitor compliance by company employees through established procedures. * Lead change management efforts to ensure CLM efficiency improvement. * Ensure contract close-out, extension or renewal processes are being followed. * Create baseline usage guidelines for core program and assist/ advise lines of business on creating customized usage for their specific needs. * Monitor, track and provide recommendations on process improvement areas for enterprise usage of the CLM. * Work with internal P2P Technology group and contract management system vendor on system fixes and future functionality enhancements. * Facilitates business workshops and communications. * Assists in the preparation of training materials and supports/ conducts training classes. * Own the system security rules and procedures. Establish controls to track and report on security issues. * Create administrative reports to track and measure data entry practices (e.g. look for empty fields, review what is being used in “other” fields, look for duplicate entries). * Lead the standardization effort by instituting controls to measure and report on data integrity. * Collaborate with other business departments and Enterprise IT to perform analysis and make recommendations on integrating CLM data with data from other systems. * Work with CLM end users to define needed reports.
